Ticking Biology (“we,” “us,” or “our”) provides subscription-based access to educational content and downloadable information products. By using our services, you (“user,” “customer,” or “you”) agree to comply with these legally binding Terms and Conditions. This document incorporates best practices for digital subscriptions and information products while adhering to GDPR, consumer protection laws, and global e-commerce standards.

 

1. User Responsibilities

1.1 Account Management

You must provide accurate and current information during account creation and payment processing. Account credentials are confidential, and you accept full responsibility for all activities under your account. Unauthorized sharing of login details or systematic content extraction via automated tools is strictly prohibited.

1.2 Content Usage Restrictions

All content remains the intellectual property of Ticking Biology or its licensors. You receive a limited, non-exclusive, non-transferable license for personal, non-commercial use. Redistribution, resale, or commercial exploitation of content without written consent violates copyright laws and will result in immediate account termination and potential legal action.

2. Subscription Services

2.1 Billing and Automatic Renewals

Subscriptions auto-renew at the end of the selected term unless canceled ≥24 hours before renewal. Fees reflect current rates displayed at checkout, excluding third-party transaction charges (e.g., foreign currency fees). Failed payments trigger three retry attempts over 10 days. Persistent failures result in service suspension.

2.2 Cancellation and Refunds

Cancel anytime via account settings, with access continuing until the current billing cycle ends. Refunds for initial subscription purchases are available within 14 days provided that no substantial content has been downloaded, accessed, or consumed (e.g., full video playback or PDF material access). Eligibility will be determined based on access logs and usage history. Exceptions apply to discounted bundles or promotional offers.

3. Downloadable Information Products

3.1 Licensing and Access

Purchased bundles grant perpetual access to downloaded materials but prohibit redistribution. Technical requirements (e.g., compatible software versions) are specified on product pages.

3.2 Delivery and Updates

Content is delivered instantly post-payment. We reserve the right to update or remove products, but guarantee 12-month access to purchased versions.

4. Payment Security

4.1 PCI-DSS Compliance

Payments processed through certified gateways (PayPal, Stripe, Visa, Mastercard) encrypt data end-to-end. We never store full credit card details.

4.2 Price Accuracy

Listed prices exclude taxes unless specified. Typographical errors void orders, with customers notified to reconfirm corrected pricing.

5. Legal Protections

5.1 Disclaimers

• Medical Content: Materials are for informational purposes only and do not substitute professional medical advice.
• Third-Party Links: We disclaim responsibility for external sites linked from our platform.
• Service Availability: Access may be temporarily restricted for maintenance or unforeseen outages.

5.2 Liability Limitations

We are not liable for indirect, incidental, or consequential damages exceeding 100% of the fees paid in the preceding 6 months.

6. Data Protection

6.1 GDPR Compliance (EU/EEA Users)

Personal data processing aligns with our Privacy Policy. You may request data access, rectification, or deletion via oneday@tickingbiology.com.

6.2 Cookie Management

Our cookie banner allows granular control over tracking preferences. Essential cookies (e.g., login sessions) cannot be disabled.

7. Dispute Resolution

7.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Lithuania. Disputes fall under the exclusive jurisdiction of the courts of Lithuania. However, EU consumers may bring claims in their country of residence, as permitted under applicable law.

7.2 Mandatory Arbitration

Except for claims seeking injunctive relief, all disputes shall be submitted to binding arbitration administered by the Vilnius Court of Commercial Arbitration in accordance with its rules. Arbitration will be conducted in Vilnius, in Lithuanian or English, and each party shall bear its own costs unless otherwise decided by the arbitrator.

8. Amendments

We notify users of material changes via email ≥30 days before the effective dates. Continued site use constitutes acceptance.

9. Force Majeure

We shall not be held liable for any failure or delay in the performance of our obligations due to causes beyond our reasonable control. These include but are not limited to acts of God, war, strikes, epidemics, internet service outages, or government-imposed restrictions. In such cases, we will make reasonable efforts to resume service as soon as possible.
