Brains On Duty, UAB, company code 307333551, registered at Manufaktūrų g. 6, LT-11342 Vilnius, Lithuania, trading as Ticking Biology (“we”, “us” or “our”), provides educational content and live online sessions. By using our services and accessing our website, you (“user”, “customer” or “you”) agree to comply with these legally binding Terms and Conditions, together with our Privacy Policy.
These Terms and Conditions (“Terms”) govern your use of the Website and the services and content offered through it, including Live Sessions. Please read these Terms carefully before using our Services. If you do not agree to all of the Terms, you may not access or use the Services.
Nothing in these Terms limits or excludes any right you have as a consumer that cannot be limited or excluded under the law of your country of residence.
1. Description of services
We provide an online platform offering:
• Free access to educational articles, videos and resources published on the Website.
• Live Sessions, meaning paid scheduled online sessions led by a named presenter, together with a recording, written materials and a time-limited private support and practice group. Every purchase is a single payment for a single Live Session.
2. Your responsibilities
2.1 Booking details and access
You must provide accurate, complete and current information when booking and paying. Joining links, recording links and access to the support group are personal to you.
Where we provide you with account credentials or a personal access link, those credentials are confidential and you accept full responsibility for activity carried out under them. Sharing a joining link, a recording link or group access with anyone who has not booked a place is prohibited, as is systematic content extraction using automated tools. Notify us immediately at support@tickingbiology.com if you believe someone else has gained access to your booking.
2.2 Content usage restrictions
All original content on the Website, including text, graphics, logos, videos, session recordings, written guides and the compilation of such content, remains the intellectual property of Ticking Biology. You receive a limited, non-exclusive, non-transferable licence strictly for personal, non-commercial use.
The Website and our sessions may include content licensed from or provided by third parties. Use of such content is subject to these Terms and to any additional terms or licences specified by the third party. We grant no rights to third-party content and you must adhere to the third party’s terms.
You must not:
• Modify, reproduce, duplicate, copy, sell, resell or exploit any portion of the Services or content without our express written permission.
• Distribute, publicly display or create derivative works based on our content, including written guides and session recordings.
• Record, screenshot, transcribe, stream or re-broadcast any part of a Live Session or its recording.
• Share a joining link, a recording link or group access with anyone who has not booked a place.
• Use any automated system or software to extract data from the Website, known as screen scraping.
3. Live Sessions
3.1 What a Live Session is
A Live Session is a scheduled online session led by a named presenter on a stated date and at a stated time. The session page sets out the presenter, the date, the start time in several time zones and the expected duration.
Unless the session page says otherwise, a booking includes:
• One live session attended online at the scheduled time.
• A recording of the session, made available afterwards and accessible for 30 days.
• A written guide supplied in PDF format.
• Access to a private moderated support and practice group for three weeks following the session, including weekly office hours.
The session page for the relevant date is the authoritative description of what is included. If anything on that page differs from this clause, the session page applies.
3.2 Price, VAT and payment
Prices are stated on the session page and include VAT at the applicable rate. A Live Session is a single purchase. You are charged once, nothing renews, and we do not store your card for future use.
Payment is taken at the time of booking through our payment provider. Your booking is confirmed only once payment has been received and we have sent you a confirmation email.
Places are limited and are allocated in the order that completed bookings are received. When a session is full, booking closes.
3.3 Joining the session
We send joining instructions to the email address used at booking. It is your responsibility to give a correct address and to check your spam folder. If you have not received joining instructions 24 hours before the session, contact support@tickingbiology.com so that we can resend them.
You need a stable internet connection and a device capable of running the video platform we use. We are not responsible for a failure on your side to join the session, including local connection problems, device incompatibility or corporate firewalls.
We may remove anyone attending on a shared link, without a refund.
3.4 Recording and your participation
Live Sessions are recorded so that the recording can be made available to everyone who booked.
If you turn on your camera or microphone, or if you type in the chat, you may appear in the recording. If you prefer not to appear, keep your camera and microphone off and send your questions privately to the moderator. Questions submitted at booking or in advance are read out without naming the person who asked, unless you tell us that you are happy to be named.
You must not record, screenshot, transcribe, stream or share any part of a session or its recording. This protects the other participants as much as it protects us.
3.5 The support and practice group
The group is a private moderated space open to people who booked the session. It runs for three weeks from the session date and closes at the end of that period. Content posted in the group may be removed when the group closes and we do not guarantee that you can retrieve it afterwards.
In the group you must treat other participants with respect, keep what others share confidential, and refrain from promoting products, services or your own practice. We may remove anyone who does not, without a refund.
Other participants may share personal experiences. Anything shared in the group is shared by the individual who posted it and not by us, and we accept no responsibility for it. The group is not a crisis or support line. If you need urgent help, contact your doctor or your local emergency services.
3.6 Educational purpose, not medical advice
Live Sessions, recordings, written guides and the group are educational and informational. They do not constitute medical advice, diagnosis or treatment and they do not create a doctor and patient relationship between you and any presenter, including where the presenter holds a medical or scientific qualification.
Answers given during a session, in office hours or in the group are general and are not tailored to your circumstances, your medical history or any medication you take. Always consult a qualified healthcare professional before acting on anything discussed, and never delay seeking medical advice because of something you heard in a session.
3.7 Cancelling your place and refunds
To cancel, write to support@tickingbiology.com from the email address used to book.
• More than 7 days before the session starts: full refund.
• Between 7 days and the start of the session: 50% refund.
• Once the session has started: no refund, for the reason set out in clause 3.8.
Refunds are returned to the original payment method and usually appear within 5 to 10 working days, depending on your bank.
3.8 Your right of withdrawal and how it ends
Under EU consumer law you normally have 14 days to withdraw from a purchase made online. Two exceptions apply to Live Sessions, and by completing your booking you agree to both.
First, you expressly ask us to begin performing the service before the 14 day period has ended, meaning on the session date and on the group start date. You acknowledge that once the service has been fully performed you no longer have a right to withdraw.
Second, the recording and the written guide are digital content supplied to you immediately after the session. You expressly consent to us supplying them straight away and you acknowledge that you lose your right of withdrawal once supply has begun.
Until the session takes place, the cancellation terms in clause 3.7 apply in full. Those terms are more generous than the statutory minimum in the period before the session and do not affect any right you have that cannot be excluded by agreement.
3.9 If we cancel or reschedule
If we cancel a session, or move it to another date or time, you may choose a full refund or a place on the next available date. The choice is yours and we will ask you before doing anything.
We may cancel a session if the number of bookings is too low for the format to work. If we do, you receive a full refund.
If a session is interrupted by a technical failure on our side and cannot be completed, we will either reschedule the remaining part or refund you in proportion to the part that did not take place. You may also choose a full refund if the interruption means you received no meaningful part of the session.
3.10 If you cannot attend
Sessions are not rescheduled for individual attendees. If you cannot attend live, you still receive the recording, the written guide, the group and the office hours, so missing the live hour is not on its own a ground for a refund.
You may transfer your place to another person at no cost by telling us before the session begins and giving us their name and email address.
3.11 Eligibility
You must be at least 18 years old to book a Live Session.
3.12 Group bookings
Where a group rate is offered, it is arranged by writing to support@tickingbiology.com. Each attendee needs their own named place, their own joining link and their own access to the practice group. Group bookings are subject to the same cancellation terms unless we agree otherwise in writing.
3.13 Changes to the programme
We may make reasonable changes to the running order, the exercises or the office hours schedule. We may substitute a presenter of equivalent standing if the named presenter becomes unavailable. If the named presenter cannot be replaced on equivalent terms, clause 3.9 applies and you may take a full refund.
4. Payment security
4.1 PCI DSS compliance
Payments are processed through certified gateways, including Stripe, and are encrypted end to end. We never see or store full card details.
4.2 Price accuracy
Prices are stated including VAT at the applicable rate. Prices exclude third-party charges such as foreign currency conversion or fees applied by your own bank.
Obvious typographical errors do not bind us. If a price is clearly wrong, we will contact you to reconfirm the corrected price before taking payment, or refund you in full if you no longer wish to proceed.
5. Legal protections
5.1 Disclaimers
The Services and all content are provided on an “as is” and “as available” basis, without warranties of any kind, express or implied. We do not warrant that the Services will be uninterrupted, error free or secure, or that content will be accurate, complete or current.
Medical content. Materials, sessions and answers are for informational purposes only and do not substitute professional medical advice. See clause 3.6.
Third-party links. We disclaim responsibility for external sites linked from our platform.
Service availability. Access to the Website may be temporarily restricted for maintenance or unforeseen outages. Where this affects a Live Session, clause 3.9 applies.
While we take reasonable precautions, we cannot guarantee that files downloaded from this Website will be free of viruses or other destructive features. You are responsible for your own antivirus protection. We are not responsible for loss or damage caused by a distributed denial of service attack, viruses or other technologically harmful material that may infect your equipment through your use of our Services or your downloading of content.
5.2 Liability limitations
To the fullest extent permitted by law, Brains On Duty, UAB, its affiliates, officers, directors, employees, agents, suppliers and licensors will not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data, use, goodwill or other intangible losses, resulting from your access to or use of, or inability to access or use, the Services; the conduct or content of any third party on the Services or in the group; any content obtained from the Services; or unauthorised access to or alteration of your transmissions or content, whether based on warranty, contract, tort including negligence, or any other legal theory, and whether or not we have been informed of the possibility of such damage.
Our total liability for any claim will not exceed the amount you paid for the Live Session giving rise to the claim.
Nothing in these Terms excludes or limits our liability where the law does not permit exclusion or limitation, including liability for death or personal injury caused by our negligence and for fraud or fraudulent misrepresentation.
6. Indemnification
You agree to defend, indemnify and hold harmless Brains On Duty, UAB, its licensees and licensors, and their employees, contractors, agents, officers and directors, from any claims, damages, obligations, losses, liabilities, costs and expenses, including legal fees, arising from your use and access of the Services; a breach of these Terms; or your violation of any third-party rights, including intellectual property or privacy rights.
This clause does not apply to a consumer acting outside the course of a business.
7. Data protection
7.1 GDPR compliance
Personal data processing is described in our Privacy Policy. You may request access, rectification or deletion of your data by writing to support@tickingbiology.com.
For Live Sessions we process your name and email address to administer your booking, send joining instructions, give you access to the recording and the group, and meet our accounting and VAT obligations. Any question you submit at booking is used to shape the session content and is anonymised before it is discussed. Recordings may contain your image, voice or chat messages if you choose to take part with your camera, microphone or chat active. See clause 3.4.
7.2 Cookie management
Our cookie banner allows control over tracking preferences. Essential cookies, such as session cookies, cannot be disabled. See section our Privacy Policy.
8. Dispute resolution
8.1 Governing law
These Terms are governed by the laws of the Republic of Lithuania. If you are a consumer resident in the EU, you also keep the protection of the mandatory rules of the law of your country of residence, and you may bring proceedings in the courts of that country.
8.2 Complaints and alternative resolution
Please write to support@tickingbiology.com first. We aim to answer complaints within 14 days.
If we cannot resolve the matter, consumers resident in Lithuania may refer the dispute to the State Consumer Rights Protection Authority, Valstybinė vartotojų teisių apsaugos tarnyba, at vvtat.lt. Consumers resident elsewhere in the EU may refer the dispute to the equivalent body in their country.
8.3 Arbitration for business users
Where you are not acting as a consumer, and except for claims seeking injunctive relief, disputes are submitted to binding arbitration administered by the Vilnius Court of Commercial Arbitration in accordance with its rules. Arbitration is conducted in Vilnius, in Lithuanian or English, and each party bears its own costs unless the arbitrator decides otherwise. This clause does not apply to consumers.
9. Amendments
We may modify or replace these Terms at any time. If a revision is material we will give at least 30 days’ notice before the new terms take effect.
Changes do not apply retrospectively to a Live Session you have already booked. The Terms in force on the date of your booking govern that booking.
By continuing to access or use our Services after a revision takes effect, you agree to be bound by the revised Terms. If you do not agree, you should stop using the Services.
10. Force majeure
We are not liable for any failure or delay in performing our obligations due to causes beyond our reasonable control, including acts of God, war, strikes, epidemics, internet service outages or government-imposed restrictions. In such cases we will make reasonable efforts to resume service as soon as possible. Where a Live Session cannot go ahead for such a reason, clause 3.9 applies and you may choose a full refund or a place on the next date.
